第七十六章 一燈初照危城債，救市二字問代價
Sir Martin Dunn 出場時，沒有光。
只有一把很舊的黑傘。
那天下雨。
雨不大，但中環每個人都像被打濕了心情。
Raymond 在 lobby 見到他，站直了一點。
「Sir Martin。」
「Raymond。」老人用很慢的英文說，「I hear Hong Kong has remembered risk。」
他是 Beacon Capital 的 founder。
以前做過英資銀行。
做過政府 advisory。
也做過幾單沒有人想接的 distressed rescue。
江湖叫他鄧一燈。
因為他不是最亮的人。
但很多危局裡，總有人想起還有一盞舊燈。
Harbour Lantern 董事局想找 white knight。
不是要人立刻入股。
是要一個 credible restructuring adviser，幫他們判斷 structured product book、債務 covenant、bank line、是否需要先賣資產。
Sir Martin 坐下後，只問三件事。
「Who loses first？」
「Who still has cash？」
「Who is asking to be saved without paying anything？」
馬上沒有人說話。
郭正行看著他。
這不是 sponsor question。
也不是 legal question。
這是危機問題。
Sir Martin 翻完 summary。
「If the family wants market confidence, family money goes in before public money trusts them again。」
Harbour Lantern CFO 臉色白了一點。
「The family has supported the company before。」
「Good。」Sir Martin 說，「Then they know the route。」
Raymond 沒有替 client 圓場。
這是郭正行第一次見到 Raymond 不急著救客戶一句話。
會後，Sir Martin 看著郭正行。
「You are the young man who likes documents？」
郭正行愣了一下。
Raymond 咳了一聲。
「He likes surviving documents。」
Sir Martin 點頭。
「Documents are useful. But in crisis, documents tell you who promised. Cash tells you who can still keep promises。」
郭正行把這句寫低。
晚上，Seven 叔知道 Sir Martin 出場，哼了一聲。
「一燈仔都返嚟，咁真係有事。」
「你識佢？」
「中環舊人，邊有唔識。」Seven 叔說，「佢救人好貴。」
「Fee 貴？」
「唔係。」Seven 叔飲一口茶，「佢要你先承認自己應該痛。」
郭正行想起 Sir Martin 的三個問題。
Who loses first。
Who still has cash。
Who is asking to be saved without paying。
他忽然明白，第十六掌可能已經在遠處等他。
救人。
不是不問代價。
Sir Martin 的第二場 meeting 更冷。
他要求所有人關掉 projector。
「No slides first。」
CFO 不明白。
「We prepared liquidity deck。」
Sir Martin 說：「I know. That is why no slides first。」
他看著 CFO。
「Tell me in one minute why this company deserves to survive。」
房裡靜了。
不是因為問題難。
是因為大家忽然發現，過去幾天他們一直在講 product、loss、counterparty、bank line，卻未真正講過這間公司本身是否值得救。
CFO 說：「We are a listed company with long operating history。」
Sir Martin 沒有表情。
「So are many dead companies。」
Raymond 低頭，像忍住不笑。
CFO 深呼吸。
「Core business still cash generative. Treasury loss is material but not fatal if liquidity is managed. Customers still pay. Banks have not pulled all lines. Family willing to support, subject to structure。」
Sir Martin 點頭。
「Better。」
他轉向郭正行。
「Young man. What did he not say？」
郭正行嚇了一下。
Raymond 沒有替他擋。
他看著自己筆記。
「He did not say who bears pain first。」
Sir Martin 看著他。
「Good。」
又是一個字。
但房裡每個人都知道，這個 good 比很多掌聲更貴。
下午，Seven 叔聽到這段，笑到差點噴茶。
「一燈仔都係咁刻薄。」
「你真係識佢？」
「識到不想再識。」Seven 叔說，「佢以前救一間公司，第一件事叫老闆賣私人遊艇。老闆話遊艇不屬於公司。佢話，咁你都不屬於公司痛苦。」
郭正行愣住。
Seven 叔飲茶。
「所以我話，佢救人貴。不是 fee 貴，是 dignity 貴。」
晚上，Brian 在 Hanhai 聽另一場 discussion。
主題叫：
`Distressed Entry and National Champions`
Speaker 沒有說成吉瀚。
但每次講 `patient capital`，房裡都有幾個人望向空著的主位。
Brian 已經習慣這種空位。
成吉瀚不出現，反而更像無處不在。
袁弘烈坐在他旁邊，低聲說：「有些人救公司，是因為公司值得救。有些人救，是因為救完之後，公司會知道誰給了第二次生命。」
Brian 問：「那是救，還是控制？」
袁弘烈笑。
「Why choose one？」
Brian 沒有做筆記。
他知道，如果是以前的自己，會在心裡打個問號。
現在他也打。
只是問號後面，開始有一點興奮。
Sir Martin 離開萬利門時，雨仍未停。
郭正行替他按 lift。
老人忽然問：「You have someone waiting for you？」
郭正行愣住。
「Sorry？」
「People who work like you usually do。」Sir Martin 說，「They either have no one waiting, or someone very tired of waiting。」
郭正行不知怎樣答。
Sir Martin 沒有追問。
「In rescue work, young bankers often confuse usefulness with worth. Dangerous habit。」
Lift 門開。
郭正行終於問：「How do you stop？」
Sir Martin 看著他。
「You don't stop caring. You stop stealing responsibility from people who created the problem。」
說完，他進 lift。
門關上。
郭正行站在門外，覺得這句比任何 financial model 都難。
晚上，他把這句講給 Yoyo 聽。
Yoyo 很久沒有說話。
「我很想說，終於有人講你。」
郭正行苦笑。
「你可以講。」
「不。」她說，「今晚不講你。我只問，你聽入去未？」
他想了想。
「聽到。」
「聽到同聽入去不同。」
「我知。」
「你又知。」
兩人都停住。
這個循環開始太熟。
郭正行深呼吸。
「我會做一件事。」他說，「明晚如果不是 client board call，我九點走。」
Yoyo 說：「不要向我 promise 你控制不到的事。」
「咁我 promise，如果九點走不到，我九點前打給你，不是 message。」
Yoyo 的聲音軟了一點。
「這個比較像真的。」
同一晚，Brian 在 Hanhai 收到一張照片。
成拓磊發來的。
一張舊報紙剪影。
年輕的成吉瀚站在香港一間茶餐廳門口。
旁邊有幾個模糊的人影。
Brian 放大。
看不清。
拓磊只寫：
`Old Hong Kong made many debts. Some are still unpaid.`
Brian 看著那張相，想起師兄母親的舊恩傳聞。
他不知道細節。
但他第一次感覺到，成吉瀚不是忽然出現在終局的人。
他像一條很早以前埋下的線。
現在才慢慢拉緊。
Sir Martin 的第三個問題，在第二日變成最痛的一頁。
`Who is asking to be saved without paying?`
許 CFO 初稿把答案寫得很禮貌：
`The controlling family is considering various support options.`
Sir Martin 看完，搖頭。
「Considering is not paying。」
Raymond 幾乎笑不出。
「Sir Martin, you really hate that word。」
老人說：「In crisis, considering is what people do while hoping someone else pays first。」
董事長羅先生終於開口。
「如果 family 要支持，公司要付什麼代價？」
Nancy 說：「Security, governance undertakings, possible disclosure of related-party terms, and market perception that the family had to step in。」
Wendy 補：「And future investors will ask why treasury risk got to this point。」
羅先生點頭。
「那就是代價。」
他看著 CFO。
「我們不要再寫得像不用代價。」
這句令房裡有一種很奇怪的安靜。
不是輕鬆。
是第一次有人承認，救命不是免費。
郭正行看著羅先生。
又一次覺得這個 client 不完美，但仍有救。
晚上，他把 Sir Martin 那句 `usefulness with worth` 寫在 notebook。
旁邊加了自己的翻譯：
`有用，不等於值得被愛。`
寫完他自己也覺得肉麻。
正想刪，Yoyo 的 message 來了。
`九點。`
只有兩個字。
他看時間。
八點五十五。
房裡還在改 schedule。
他站起來，走到 Raymond 身邊。
「我九點要打個電話。十分鐘。」
Raymond 看他一眼。
沒有問。
「Go。」
郭正行走出房，撥給 Yoyo。
電話接通時，他第一句不是對不起。
是：「我未走到，但我記得。」
Yoyo 在另一邊安靜了兩秒。
「好。」
只是一個好。
但他知道，這比一百句對不起更有用。
