第七十章 參考名字非對手，西獨一信問誰償
Project Paper Lantern 的第一個 meeting，不在大房。
Raymond 特意叫了小房。
「呢單唔係 pitch。」他說，「唔好搞到好似我哋好興奮。」
桌上沒有招股書。
沒有上市時間表。
只有一疊 term sheet。
每一份都很漂亮。
Logo 漂亮。
Coupon 漂亮。
名字漂亮。
`Enhanced Yield Note`
`Principal Protected Credit Linked Deposit`
`Callable Range Accrual Note`
郭正行翻到第二份，看到一行：
`Reference Entity: North Atlantic Financial Corp.`
他問：「如果 reference entity 出事，issuer 要賠？」
Nancy 看著他。
「Not exactly。Depends on credit event definition, settlement method, recovery calculation。」
Wendy 說：「即係你以為買咗一盞燈，其實買咗一堆天氣。」
CFO 苦笑。
「當時 private bank 說是 conservative yield enhancement。」
Marcus 問：「Who approved the treasury policy？」
「Board delegated to investment committee。」
「Minutes？」
「有。」
「Did minutes mention reference entities？」
CFO 沉默。
這個沉默，比很多答案更快。
中午，Fung 的 email 來了。
沒有打給 Raymond。
沒有打給 Marcus。
而是發給一個 generic research distribution list，再轉了幾圈到萬利門。
Subject 很短：
`Yield Is Not Cashflow`
Raymond 看完第一段，面色已經差。
Fung 寫：
`Hong Kong listed companies are not banks. Yet many have built shadow treasury books through private-banking products they do not fully understand. The next earnings season will not ask who bought high coupon. It will ask who can still collect.`
沒有點名 Harbour Lantern。
沒有 restricted information。
但每一句都像貼在它門口。
郭正行問：「佢點知？」
Wendy 說：「他不用知你個 client。他只要知市場點樣貪。」
Nancy 把 email 放進 market file。
「Treat as public market commentary. No leakage indicated。」
Raymond 嘆氣。
「又係 Fung。」
Marcus 說：「Sometimes cold people see steam first。」
下午，Harbour Lantern 的 investment committee minutes 送到。
每一頁都寫著 prudence。
每一頁都寫著 diversification。
每一頁都沒有寫清楚最重要的問題：
如果某一個 reference entity default，誰真正找數。
郭正行盯著文件，心裡有一種很新的不安。
以前他問：這間公司有沒有講真？
現在他問：如果它講的每一句都是真，但它自己也不知道真相在哪裡，怎樣辦？
晚上，他約了 Yoyo 食飯。
他遲到四十分鐘。
Yoyo 沒有罵他。
只把餐牌推過去。
「又救世界？」
「只是看一堆 notes。」
「音樂 notes？」
「金融 notes。」
Yoyo 停了一下。
「那通常比走音更危險。」
郭正行笑不出。
他想講 Fung。
想講 counterparty。
想講自己第一次覺得，合法文件也可以像迷路。
但他最後只說：「我今晚可能要返去。」
Yoyo 看著他，點頭。
「食完先。」
這句很溫柔。
溫柔到郭正行有一刻不敢看她。
他吃得很快。
不是因為餓。
是因為心裡還在拆那張 counterparty map。
Yoyo 看著他。
「你知唔知你而家個樣，好似一個人食飯都在做 sensitivity？」
郭正行放下筷子。
「我停。」
「不用停。」她說，「講三句。」
他想起那晚定下的約定。
三句 deal。
他數著手指。
「第一，reference entity 不是 issuer。」
Yoyo 點頭。
「第二，guarantor 不是永遠 guarantee。」
她皺眉。
「第三，如果 calculation agent 和 distributor 都說自己只是按文件做事，買的人可能以為自己有好多保護，其實只是在好多門口排隊。」
Yoyo 沉默了一會。
「這三句很難聽。」
「我知。」
「但好有用。」她說，「你今晚回去吧。」
他抬頭。
「你不嬲我？」
「嬲。」她說，「但我不想你坐在這裡扮自己不想回去。」
這句很準。
郭正行想解釋。
Yoyo 先舉手。
「不要用第四句。」
他閉嘴。
兩人都笑了一下。
笑完，Yoyo 的表情又認真起來。
「不過你記住，危機不是你一個人救。你可以回去，但你不能每次都用『我需要回去』來證明你有價值。」
他點頭。
「我會記。」
「你最好寫低。」她說。
回到萬利門時，Raymond 已經在小房等。
白板上畫了五個框。
`Client`
`Distributor`
`Issuer`
`Reference Entity`
`Guarantor`
每個框之間都有箭頭。
箭頭旁邊寫著不同的字。
`payment`
`credit event`
`calculation`
`settlement`
`representation`
Marcus 說：「If you cannot explain the arrows, you don't understand the product。」
Nancy 補：「If the board could not explain the arrows when approving it, we have a governance problem。」
許 CFO 臉色很白。
「你們意思是，board approval may not be sufficient？」
Raymond 說：「Board approval is a fact. Understanding is another fact。」
Wendy 看著那些箭頭。
「Investor relations 會問一個簡單問題：會輸幾多？」
房裡靜了。
因為這個問題最簡單。
也最難答。
夜深，Fung 的 email 來了。
不是 report。
只是 forward 給 Raymond，一句話：
`People are still pricing yield as if counterparties are stationery. They are not.`
Raymond 罵了一句。
Marcus 看完，居然沒有罵。
「He is irritatingly early again。」
郭正行看著 email。
這一次，他沒有只覺得 Fung 討厭。
他開始覺得，討厭的人如果比你早看見火，你最好先不要忙著討厭。
第二天早上，break point table 出來。
每一個 product 一行。
每一行都有三個 scenario。
`Issuer downgrade`
`Reference entity credit event`
`Early redemption / liquidity freeze`
許 CFO 看著那張表，像看著一張病歷。
「這是 worst case？」
Marcus 說：「No. This is understandable case. Worst case may be disorderly。」
Raymond 看了他一眼。
「Marcus 版本的 bedside manner。」
Nancy 問：「Which of these require disclosure under current accounting and listing obligations？」
Counsel 開始講準則。
郭正行一邊聽，一邊覺得這一單和 IPO 完全不同。
IPO 的 disclosure 是向未來投資者介紹一個故事。
Paper Lantern 的 disclosure，是向已經在船上的人承認，船底某處可能入水。
語氣不能太恐慌。
也不能太安慰。
每一個字都像拿著水桶站在甲板上。
中午，Wendy 拉他去買咖啡。
「你最近個樣像 Excel 長了人。」
「多謝？」
「不是。」她說，「Structured product crisis 最容易令人以為自己好聰明。你拆到一層，下面還有一層。拆到最後，發現真正問題是第一日有人問得太少。」
郭正行問：「咁點避免？」
Wendy 拿起咖啡。
「問到人不想請你食飯。」
「我已經很接近。」
「Good。中環太多人靠被請食飯搵存在感。」
下午，Fung 打電話給郭正行。
不是 Raymond。
是直接打給他。
「聽講你做緊 counterparty map。」
郭正行警覺。
「你聽邊個講？」
Fung 笑。
「Relax. Public market can smell when bankers start drawing arrows。」
「你想要咩？」
「Nothing restricted。」Fung 說，「我只問一個 philosophical question。」
郭正行不信。
Fung 繼續：「If product documents are technically clear but no one economically understood them, who failed？」
郭正行看著窗外。
「Why ask me？」
「Because you still sound like you think there is a single culprit。」
電話掛斷後，郭正行很不爽。
因為 Fung 又討厭地說中了。
他把問題寫在 notebook：
`No single culprit does not mean no responsibility.`
晚上，Yoyo 看見那句，點頭。
「這句好。」
「你不要又話我似 Marcus。」
「不。」她說，「今次有少少似你自己。」
