第九十六章 北辰帖落萬利門，大 deal 一開見眾生
萬利門正式收到 mandate letter 的那天，Raymond 沒有笑。
他把文件放在 conference room 中間。
`Project North Star`
`Joint Global Coordinator and Sponsor`
`North Star Infrastructure Group`
Wendy 看了一眼。
「Congratulations？」
Raymond 說：「Condolences first. Congratulations after listing。」
Marcus 已經開了 issue tracker。
第一行不是 valuation。
是：
`What exactly is state support?`
Nancy 看了，點頭。
「Good first wound。」
North Star 的資料室很快開放。
不是舊式紙箱。
是 data room。
Folder 多到像一座城市。
`Ports`
`Rail Logistics Parks`
`Energy Pipeline Services`
`Municipal Concessions`
`Government Receivables`
`Related Procurement`
`Policy Support Letters`
郭正行看著最後一個 folder。
「Policy support letters。」
Marcus 說：「三個字最易令人想偷懶。Support。」
Nancy 說：「Support is not guarantee。」
Raymond 看著 team。
「This deal will attract every investor who wants China exposure, every banker who wants league table, and every politician who wants headline. We do not need to be the loudest。」
Wendy 接：
「只需要唔好做最蠢。」
Raymond 忍住笑。
「Also that。」
第一場 kick-off call，North Star CFO 介紹公司：
「我們是連接中國內地實體經濟與香港資本市場的重要平台。」
這句很大。
大得像一面旗。
郭正行在 notebook 寫：
`Platform for what? Cashflow from whom? Risk borne by whom?`
他寫完，忽然想起 Seven 叔第一掌。
唔好俾人當你冇眼。
十年金融江湖，原來很多東西仍然由第一掌開始。
Call 後，Nancy 分工。
「Jenson, government receivables and concession renewal. Marcus, support letters and verification. Wendy, cornerstone and bookbuilding protocol. I will handle disclosure architecture. Raymond, client pain。」
Raymond 說：「Client pain always finds me。」
Wendy 拿起 folder。
「Cornerstone list 已經有傳聞。」
Marcus 說：「傳聞不是 order。」
Wendy 說：「Order 都未必係信仰，可能係政治姿勢。」
房間又靜了一下。
這就是 North Star。
每一句都可以很正確。
每一句都可能很危險。
傍晚，郭正行走出 conference room。
他看到 Brian 站在 lift lobby。
不是萬利門樓層。
是樓下大堂。
Brian 穿深色西裝，手上沒有萬利門 badge。
兩人隔著人流對望。
Brian 先笑。
「Big one？」
郭正行說：「You know I can't talk。」
「I didn't ask。」
Brian 看著他手上的 North Star folder。
「Good luck, 師兄。」
那聲師兄，很熟。
也很遠。
Lift 門開。
Brian 走進去。
郭正行沒有追。
有些門，現在要等對方自己敲。
正式 mandate letter 送到萬利門時，Marcus 先看 scope。
不是 fee。
不是 league table。
不是 tombstone position。
是 scope。
他用螢光筆圈出：
`Sponsor due diligence`
`Underwriting and global coordination`
`Cornerstone investor process`
`Verification notes`
`Connected person and related-party disclosure review`
`Government receivables and concession risk analysis`
`Public communications and media protocol`
Nancy 看到最後一項，說：「Good. No one improvises greatness to press。」
Wendy 看 fee section。
「At least greatness pays。」
Raymond 看著全 team。
「This is first real post-crisis mega IPO for us. Everyone outside this room wants a recovery story. Client wants national platform story. Hanhai wants strategic positioning story. Market wants China growth story.」
他停了停。
「Our story is simpler. Can investors decide with eyes open？」
房裡沒有掌聲。
只有一種低低的緊張。
這不是 Golden Bun 那種 small-cap survival。
不是 Silk Road 那種查倉查到手黑。
不是 Dragon Gate 那種牛市捷徑。
這是一個大到全世界都會替它找理由的 deal。
下午 kickoff call，North Star CFO 先講 timetable。
「We target listing before National Day window if possible。」
Marcus 的筆停住。
Raymond 說：「We can work toward a target. We cannot let calendar decide disclosure readiness。」
CFO 客氣地笑。
「Of course。」
這個 `of course`，郭正行聽得出不是完全 of course。
Hanhai team 上線。
袁弘烈的聲音先到。
「Wanlimen, congratulations. Big road ahead。」
Brian 沒有出聲。
但 attendee list 上有他的名字：
`Brian Yeung, Hanhai Capital - Strategic Markets`
郭正行看著那行字，眼皮跳了一下。
Nancy 把 attendee list 存入 folder。
「Any conflicts to note？」
Raymond 看向 Hanhai。
袁弘烈說：「Brian will not receive Wanlimen internal workpapers. He is on Hanhai-side public positioning and investor education materials only。」
Brian 終於開口。
「Confirmed。」
聲音很穩。
穩到郭正行覺得陌生。
Nancy 說：「Record that. Information sharing via approved channel only。」
Marcus 在 minutes 寫下。
這一刻，所有程序都正確。
正確得令人更痛。
因為 Brian 不是偷走的人。
他是坐到另一張桌、用正確程序把自己和萬利門分開的人。
Kickoff 後，Wendy 把 investor map 攤開。
「North Star will attract everyone who wants China infrastructure beta。」
Andy 問：「Beta 都要 DD？」
Wendy 看他。
「尤其 beta 要 DD。因為大家買 beta 時，最容易忘記自己其實買緊一間公司。」
郭正行開始做 first due diligence request list。
他寫：

`Tariff adjustment history`
`Government receivables aging`
`Procurement contracts with SOE suppliers`
`Capital expenditure commitments`
`Debt maturity schedule`
`Cornerstone allocation principles`
每一行都普通。
但放在 North Star 這個名字下面，像一把把小刀。
傍晚，Brian 在大堂那句 `Good luck, 師兄` 一直留在他耳邊。
他沒有回 message。
也沒有向 Nancy 報告私人情緒。
他只是把 North Star folder 放入書包，第一次覺得書包重得像背住半個市場。
晚上，Yoyo 問：「新 deal？」
「嗯。」
「可以講？」
「只可以講大。」
「幾大？」
郭正行看著窗外。
「大到所有人都會覺得自己不應該問太細。」
Yoyo 安靜了一下。
「咁你要問得更細。」
他笑了。
「我知。」
她說：「不要只知。要做到。」
掛線後，他打開 request list，又加一行：
`Evidence for every comfortable sentence.`
這一行沒有正式分類。
但他知道，這會是 Project North Star 的真正 mandate。
睡前，他把 folder 放在書桌上。
封面 `Project North Star` 四個字，在房間燈下很安靜。
他忽然想起小時候在屋邨天台看星。
那時他不知道北辰是甚麼，只知道城市太亮，星其實不多。
現在中環更亮。
但他開始明白，越亮的地方，越要有人記得星不是燈。
燈可以開給人看。
星只是方向。
第二天，他回到萬利門，Marcus 已經在白板寫了第一行：
`North Star: evidence status before language.`
郭正行把自己的 request list 貼上去。
旁邊，Brian 的名字在 Hanhai attendee list 裡仍然清楚。
兩張紙貼在同一塊白板。
像這個終局的兩條路，正式並排開始。
