第二十一章 風險因素藏真味，父訊一行入正門

星期一早上，萬利門沒有因為 Golden Bun 延期而輕鬆。

相反，整層 corporate finance 像剛被人拔掉一條刺，又發現刺底下原來有膿。

Delay 不是休息。

Delay 是你承認之前太快，然後要用更慢的方式補回尊嚴。

郭正行一到 office，就見到 Marcus 已經在房內，面前放著三份 printout。

第一份：`Business Section - Revised Draft`

第二份：`Risk Factors - Historical Support Arrangements`

第三份：`Management Discussion - Margin Sustainability`

三份文件疊在一起，像一套內功心法。

只是讀起來比心法更想死。

Marcus 把紅筆丟給他。

「今日練新招。」

郭正行坐下。

「咩招？」

「講真話而唔講死自己。」

Raymond 剛好推門入來。

「亦都唔講生自己。呢點好重要。」

Marcus 說：「Investor-facing truth。唔係 confession，唔係 brochure。」

Nancy 在 speakerphone 裡冷冷補一句：「No marketing language in risk factors。」

郭正行望住第一段。

`During the early stage of the Group's development, certain suppliers and business contacts provided operational and funding support...`

他讀到 `certain suppliers and business contacts` 已經皺眉。

「太虛。」

Marcus 點頭。

「改。」

郭正行打字：

`During the SARS period and the subsequent recovery phase, the Group relied on a number of historical support arrangements involving early suppliers, family-connected business contacts and external advisers.`

Raymond 看著 screen。

「Family-connected business contacts 一出，投資者會問邊個。」

Nancy 說：「Good. Because we will answer。」

Raymond 嘆氣。

「你哋啲 legal 人真係好鍾意把門打開。」

「總好過上市後俾人爆門。」

郭正行一邊改，一邊覺得這比查 hidden row 更難。

查案時，他只要追真相。

寫 disclosure 時，他要令真相有可讀的形狀。

太輕，像遮掩。

太重，像自殺。

太美，像廣告。

太醜，又不像完整公司。

這是一種很奇怪的武功：不是降龍，不是打狗，是在刀尖上排版。

上午十點，Brian 站在 Nancy 房門外。

他已經看了自己手機那條父親訊息一整個 weekend。

`今日有人問返我以前大信啲舊同事。我唔知邊個。你小心。`

這句不是 Golden Bun 文件。

不是 sealed document。

不是父親正式 chronology。

但它是新 information。

而 Brian 現在最怕的，不是別人覺得他有問題。

是自己明知有問題，卻因為怕麻煩而不走正門。

Nancy 開門時，見到他，沒有意外。

「Come in。」

Brian 坐下，把手機放在桌上。

「I have new family-side information. It may be nothing, but I should disclose it。」

Nancy 沒有碰手機。

「Summarise first。」

Brian 深吸一口氣。

「我父親話，有舊相識問返佢大信以前啲同事，關於 HY 舊錢係咪咁簡單。佢話佢無講我，無講內容。我唔知對方係邊個。我亦唔知係咪同 Golden Bun 有關。」

Nancy 拿起筆。

「When did he tell you？」

「Friday night。」

「Why today？」

Brian 的喉嚨緊了一下。

「Because I spent the weekend convincing myself it may be irrelevant. That was not a good reason。」

Nancy 看著他。

她沒有安慰，也沒有責備。

「Correct。」

Brian 點頭。

「Do you need my phone？」

「We need a record. Forward the message to legal hold account. Do not delete. Ask your father not to engage further. If he is contacted again, he should note date, time, person, and substance, but not discuss details.」

Brian 說：「I already told him not to talk。」

「Good. Now make it official。」

她把一張紙推給他。

`Supplemental Disclosure Note - Family-side Contact`

Brian 看著標題。

這幾個字很冷。

但冷有時是保護。

中午，郭正行仍在改 risk factors。

他不知道 Brian 在 Nancy 房裡。

他只知道自己第六次把 `may adversely affect` 改成 `could adversely affect`，然後又被 Nancy 改回去。

Marcus 說：「你開始明白 lawyers 點樣折磨人未？」

郭正行說：「明白。但佢哋折磨得有道理，更難頂。」

Raymond 在旁邊讀 business section。

「呢段要加返公司真係點 grow。唔可以成份 document 似懺悔書。」

Marcus 說：「Agree。」

Nancy 說：「可以，但不要 heroise SARS hardship。」

Raymond 看住電話。

「金生原句係唔好寫到好似英雄。」

郭正行停了一下。

「咁寫成咩？」

Raymond 想了想。

「寫成一間公司當年用咗好多非標準方法活下來，今日願意向市場講清楚。」

Nancy 說：「That is close。」

Marcus 看向郭正行。

「打。」

郭正行打：

`The Directors believe that the Group's early survival and subsequent growth were shaped by both commercial resilience and support arrangements that were informal by today's listing standards. The Group has therefore undertaken an additional review to ensure that investors can assess the nature, scale and impact of such arrangements.`

房間安靜了兩秒。

Raymond 說：「Not bad。」

Marcus 說：「有少少似人寫。」

Nancy 說：「Subject to verification。」

郭正行笑了。

在萬利門，這已經等於掌聲。

下午三點，Nancy 把 Brian 的 supplemental disclosure note 加入 restricted file。

她叫 Marcus 入房。

沒有叫郭正行。

這是正確的。

Brian 的新資料涉及父親私下聯絡，不是每個在 Golden Bun team 的人都應該知道。

Marcus 聽完後說：「Could be market rumour tracing sources。」

Nancy 點頭。

「Or someone trying to pressure old advisers. We do not know. Treat as external contact lead。」

「Do we tell Raymond？」

「High-level only. No father message detail unless necessary。」

Marcus 說：「Brian did the right thing。」

Nancy 把筆放下。

「Yes. Late, but right。」

傍晚，Raymond 收到 high-level update：external contact to historical adviser network possible; preserve records; strengthen rumour response and source control.

他沒有問 Brian。

他也沒有問師兄。

他只是把門關上，坐了五分鐘。

然後出來說：「今晚唔走。Disclosure pack 要重做一版。」

Marcus 說：「你原本有得走？」

「我原本有個 dinner。」

「Client？」

「老婆。」

房間安靜。

Raymond 看住眾人。

「咩？Senior banker 都可以有老婆。」

郭正行忍不住笑。

笑完他又覺得有點心酸。

這行每一個人都像在守市場。

但有時，他們連自己的 dinner 都守不住。

晚上八點半，Golden Bun 的 revised disclosure pack 第一版成形。

它不好看。

但可信。

它承認金記是早期供應商，由 extended Kam family members 運作。

它承認 Harbour Yield 提供歷史 advance，beneficial ownership 仍在查。

它承認 Golden Harvest 購入中央廚房設備，而設備支援 Golden Bun 早期擴張。

它承認 Mun Yu 及 supply offset 可能影響早期 margin profile，需要 quantified schedule。

它承認 Mr. Yeung Tit Shing believed to have acted as external documentation adviser associated with Tai Shun，但 fee source 和 role 有待確認。

每一句都不漂亮。

但每一句都有根。

郭正行看著文件。

他忽然明白，所謂招股書，不是把公司打扮到最好看。

是把公司放到一盞夠亮的燈下，讓願意買的人知道自己買的是什麼。

晚上十點，Brian 收到 Nancy 的簡短回覆。

`Supplemental note logged. Thank you. Continue to stay off Golden Bun.`

他看著 `Thank you`。

這次沒有問是 legal thank you 還是 human thank you。

因為他知道，兩者都有。

手機另一邊，陸承恩也發來訊息。

`聽聞你最近仍然守得好辛苦。大桌不會催你，但大桌不等所有人。`

Brian 沒有回。

他把手機反轉，打開 laptop。

一個 unrelated pitchbook 等著他。

他忽然覺得，自己暫時留在這張難枱，不是因為忠誠。

是因為他想知道，正路到底能不能走到最後。

而樓上 restricted room 裡，郭正行在 issue tracker 新增一行：

`External contact to historical adviser network - lead; source and intent unknown.`

他不知道這條 lead 由誰提供。

也不應該知道。

但他看著那行字，隱隱覺得，江湖外面的手，已經摸到門邊。

下一掌，不會再只打文件。
