第十五章 封袋開時見舊帳，金記二字壓招股
早上八點二十九分，郭正行已經坐在 restricted room 門外。
中環的早晨向來不太像早晨。天未完全光，Bloomberg 已經亮，咖啡機已經咳，printer 已經吐紙，幾個 analyst 眼底青得似剛從地底爬返上來。萬利門香港分舵的冷氣一向很盡責，盡責到令人懷疑它和 HR 有同一個 mission：提醒你，這裡不是家。
Marcus 拿著紙杯咖啡走過來。
「你咁早？」
「你叫我八點半。」
「我叫你八點半，正常 analyst 係八點二十九先喺 lift 出現。」
郭正行望住牆鐘。
「我都係八點二十九。」
Marcus 看了他一眼，居然笑了一下。
「Good. Still human。」
門開了。
Nancy 坐在房內，面前有三個透明膠套，一部 laptop，一張 access log。她沒有早晨好，只有一支筆。
「Before you read，repeat the boundary。」
郭正行坐下。
「Brian submitted documents through proper channel. I am not to discuss contents with Brian, Raymond, client, Yoyo, or anyone outside authorised team. Any note I take stays in restricted folder. Anything uncertain stays uncertain。」
Nancy 點頭。
「Good。今日你唔係偵探，唔係英雄，唔係朋友。你係一個 junior banker doing evidence extraction。悶，但有用。」
Marcus 將第一個膠套推到他面前。
紙張很舊，影印邊位有黑線，字有些淡。第一張是大信財務顧問的 invoice，開給一間叫 Golden Harvest Catering Equipment 的公司。Description 寫得很悶：
`Advisory services in relation to distressed asset acquisition and funding coordination`
悶字最可怕，因為悶字通常不會自己出事，只會幫出事的東西穿西裝。
第二張是 meeting note。手寫，半中半英：
`HY advance to be arranged`
`Golden Harvest to acquire equipment`
`offset via supply arrangement`
`Kam / May / T. Yeung to confirm`
郭正行看到 `T. Yeung` 的時候，手指停了一下。
Nancy 看住他。
「Say it。」
「Strong lead. Not confirmation。」
「Good。」
他把那四個字寫入 memo。
`T. Yeung - strong lead to be matched with Tai Shun records / written chronology; not confirmed as Yeung Tit Shing by client yet.`
這一句打得很慢。
慢到像把一把刀收回刀鞘。
第三份文件是設備清單。焗爐、攪拌機、冷凍櫃、包裝機，每樣都有估值，旁邊有手寫括號：
`central kitchen use`
`store rollout support`
`repay through Mun Yu supply`
Marcus 低聲說：「呢個就係問題。」
郭正行望住那行字。
「如果設備其實係 Golden Bun 用，但資金經 Harbour Yield advance，設備公司買入，再由 Mun Yu supply offset，即係資金、供應商、收入成本同關連方可能黐埋一齊。」
Nancy 說：「可能。」
「所以不能寫成 scheme。」
「Exactly。」
Marcus 補了一句：「但也不能寫成 nothing。」
房間安靜了一秒。
這一秒裡，郭正行終於明白 process 的殘忍。它不准你快意恩仇，也不准你裝作看不見。它要你站在中間，逐個字拆，逐條線畫，直到所有人都沒有藉口說自己不明白。
上午十點，新的 internal memo 出了第一版。
標題很乾：
`Golden Bun - Historical Funding / Supply Offset / Potential Connected Person Analysis`
下面不是故事，是表。
`Harbour Yield`: documented identification; beneficial owner pending.
`Golden Harvest Catering Equipment`: documented lead; group relationship pending.
`Mun Yu`: documented supplier / rebate issue.
`May Kam`: suspicion / potential family relationship; ownership and control pending.
`T. Yeung`: strong lead; identification pending.
`Kam Kee / 金記`: pending.
Marcus 看完說：「你終於識得用 pending 呢個字。」
郭正行說：「我而家憎佢。」
「Good. Banker 成熟第一步，就係憎自己最需要用嘅字。」
中午前，Raymond 入房。
他昨晚說不聽主席電話，結果當然聽了。眼底有血絲，tie 打得很正，像一個人用衣著保住最後的尊嚴。
「主席今朝問我，係咪萬利門想 kill deal。」
Nancy 沒抬頭。
「What did you say？」
「我話 we are trying to keep the deal alive in a form investors can rely on。」
Marcus 看著他。
「你真係咁講？」
Raymond 嘆氣。
「我講得無咁靚。我原句係：你唔想招股書上市後俾人當證物，咁而家就要答問題。」
郭正行差點笑出聲。
Raymond 指住他。
「唔准笑。呢句 cost me one future mandate。」
Nancy 把 memo 推給他。
「Then earn one reputation。」
Raymond 沒有即刻回嘴。
他讀到 `offset via supply arrangement` 時，眉頭慢慢沉下去。
「呢個唔可以 soft follow-up。」
Marcus 說：「係。」
「要 written response？」
Nancy 說：「要。And board-level confirmation if they want to proceed。」
Raymond 合上 memo。
「主席會爆。」
「Let him。」
下午二時，萬利門發出新一輪 request。
這次不是 politely ask for background。這次逐條寫明：請確認金記身份、楊生身份、Harbour Yield beneficial owner、Golden Harvest 與集團關係、Mun Yu supply offset 的交易金額、pricing basis、批准人、董事會紀錄、會計處理，以及是否涉及董事、主要股東、高級管理層或其 close associates。
電郵發出後，房裡像剛打完一掌。
沒有聲。
只有 Outlook 顯示 `Sent`。
江湖上有些招式，打出去時沒有風聲，但對方若接不住，五臟六腑會慢慢震。
三分鐘後，Raymond 的電話響。
來電顯示：`Kam Siu Moon`
Raymond 看住電話，像看住一條會咬人的魚。
Marcus 說：「你唔係話唔聽？」
Raymond 接起。
「Chairman Kam。」
電話另一邊的聲音大到連郭正行都聽到半句。
「你哋而家係做 sponsor，定做廉署？」
Raymond 閉上眼。
「金生，我哋做 sponsor，所以先唔可以等到有人似廉署咁問。」
房間內，Nancy 停筆。
Marcus 看了 Raymond 一眼。
郭正行第一次覺得，這位成日講 mandate、講 client management、講 fee 的 senior banker，也有一條底線。也許那條線不高，但至少今日仍在。
電話講了十分鐘。
Raymond 掛線後，把手機放在桌上。
「佢話會開 emergency board discussion。今晚前給初步 response。」
Marcus 問：「Deal 呢？」
Raymond 用手揉了揉眉心。
「佢話，如果萬利門覺得太大 risk，可以停。」
房裡又靜了。
停一單 deal，不是按 pause 那麼簡單。停的是 pitchbook、model、bonus、client relationship、league table、所有人過去幾星期沒睡的夜。
郭正行望住那份 memo。
他以為自己會覺得爽。
但他沒有。
原來真正打中一掌時，最先痛的不一定是對方。
傍晚，Brian 仍然坐在自己那張被抽空 Golden Bun 文件的位上。他看見 Raymond 從房裡出來，看見 Marcus 黑著臉，看見郭正行拿著杯水經過。
他什麼都不知道。
只知道整個 office 的空氣變重了。
他的手機震了一下。
陸承恩：
`聽聞有啲 deal 開始慢。慢，有時係因為有人不想走。`
Brian 看住那句。
他知道陸承恩不可能知道 restricted room 發生什麼。
但江湖不需要知道文件內容，也能聞到血味。
他沒有回。
晚上八點四十七分，Golden Bun 的初步 response 到了。
附件不多。
一份 chronology。
一份 supplier summary。
一張董事會 minutes scan。
Nancy 打開 chronology。
第一句是：
`The 2003 arrangements were emergency support measures during SARS and should not be characterised as related-party transactions.`
Marcus 低聲說：「Should not be characterised。」
Raymond 苦笑。
「一開波就叫你唔好 characterise。即係好需要 characterise。」
郭正行望住下一頁。
一個名終於出現。
`Kam Kee Food Supplies`
中文括號：`金記食品供應`
而旁邊一欄寫著：
`Operated by extended Kam family members; ceased active trading after integration into Golden Bun supply chain.`
房內沒有人說話。
郭正行在 memo 裡打下一行。
`金記: documented identification received; relationship and transaction trail pending.`
他打完，看到 chronology 最底有一句。
`Mr. Yeung acted only as an external adviser to Tai Shun and did not make decisions for Golden Bun.`
沒有全名。
沒有 first name。
只有 Mr. Yeung。
像有人把一隻腳伸出門，又立刻縮回去。
Nancy 看著那句，慢慢說：
「下一個問題好簡單。」
Marcus 問：「Which Mr. Yeung？」
Nancy 點頭。
「And who paid him。」
郭正行望住螢幕。
窗外中環燈火很亮，亮到像所有問題都有答案。
但文件世界裡，最危險的從來不是空白。
是那種寫了一半的名字。
