第六章 紙巾藏名照妖鏡，關連二字動中環

第二朝，萬利門 bullpen 有三種味：隔夜咖啡味、昨晚紅燈坊留下的酒味、同未開 Excel 已經令人胃酸上升的 deadline 味。

郭正行八點二十分坐低，第一件事不是開 email，而是摸一摸西裝褸內袋。

紙巾還在。

上面用眼線筆寫著：

`May Kam - Porsche 911 - MK 3288`

`Mun Yu / private room bookings`

它沒有 header，沒有 signature，沒有 date，但比昨晚一桌紅酒更重。

Brian 已經在位上，恤衫仍然筆直。

「Morning, 師兄。Recovered?」

「未死。」

「Good. Death is not billable。」

九點正，Marcus 叫 Golden Bun team 入小房。Raymond 最後到，語氣輕快。

「Chairman Kam seemed happy last night. We are still in the race, maybe ahead。」

Ahead。投行最舒服的毒，是令你不想問太多會令自己落後的問題。

Marcus 翻開 notebook。

「Supplier issue. Keep it factual, not emotional. No speculation. C-hing saw Mun Yu label at store. Brian found old address overlap. Last night CFO said 'technically independent' and 'trusted people'. We need to understand what that means。」

Raymond 用手指敲桌。

「Careful with wording. We don't go to client and say connected-person issue. We say commercial background follow-up. Understand?」

Brian 點頭。

「We can position it as supply chain diligence. If they provide contracts, pricing terms, ownership chart, we can clean it up。」

Clean it up。郭正行覺得這三個字像有人把污漬叫成設計。

會後，Brian 走去 research terminal。萬利門的資料庫像武林藏經閣，入口昂貴，介面難用。

郭正行開了一個新 Excel：`Golden_Bun_Supply_Chain_Working_v1.xlsx`。第一個 tab 叫 `Facts Only`，欄位只有四個：`Observation`、`Source`、`Implication`、`Follow-up`。

旺角加盟店後巷 supplier label：滿裕貿易。紅燈坊 CFO 口頭描述：早年熟人幫手整順 logistics。兩樣都只是線索，follow-up 都指向同一件事：request ownership and arm's length pricing evidence。

他寫到 `May Kam` 時，手指停住。

紙巾不能直接入 Excel。Mandy 不是 formal source，紅燈坊也不是 due diligence site visit。車牌不是證據。

他發 SMS 給 Seven 叔：有張紙巾，有個名，有車牌，可以點用？

五分鐘後，Seven 叔覆：

> 車牌唔係證據，係路牌。唔好攞住路牌當地契。跟住條路行，搵到門牌先講。

郭正行望住「門牌」兩字，覺得這比所有 compliance training 都清楚。

這時 Brian 轉椅滑過來，手上拿著幾頁 printout。

「Found something。」

`Mun Yu Trading Limited`

Director: `Kam Mei Yee`

Chinese name: `金美儀`

Registered office: 上環商業地址。

Previous correspondence address: 觀塘工廈單位。

Brian 用筆圈住觀塘地址。「This address matches an old private company linked to Chairman Kam. Not current, but historic overlap。」

May Kam。

金美儀。

紙巾上的眼線筆字，忽然有了門牌。

郭正行在 `Facts Only` 裡新增一行：`Company search identifies Kam Mei Yee as director of Mun Yu; historic address overlaps with old private company associated with Chairman Kam.`

Implication：potential relationship requiring clarification。

Brian 看著他打字。

「師兄，potential relationship 夠啦。唔好寫 requiring clarification，好似好大鑊咁。」

「如果唔 require clarification，點解要問？」

Brian 笑了一下。

「你問問題，都要畀 client 一條梯落。先幫佢哋整順 narrative，再補 documents。你一開波就好似 regulator，deal 會死。」

郭正行停手。

「如果 narrative 先行，documents 只係裝飾。」

這句話落地後，兩人中間第一次真正靜了。

Brian 把聲音壓低。「你令 client panic，佢哋轉去第二間 bank，最後可能完全冇人問呢個問題。咁你係守住真相，定係將真相送去另一間更肯閉眼的 bank？」

郭正行答不到。中環最可怕的說服，是證明你如果太硬，事情會變得更錯。

Marcus 走過來。「Show me。」

他站著看 Excel，咖啡杯停在半空。半分鐘後，他說：「Make this into one slide. Internal only. No client circulation. Title: Potential Related-Party Supply Chain Map - Internal Only。」

Brian 失笑。「Very sexy title。」

Marcus 面無表情。「Finance is not here to be sexy。」

郭正行心想，昨晚紅燈坊不同意。

他打開 PowerPoint。萬利門 template 的深藍邊框一出現，江湖草莽風聲便像被削成薄刀。

中央一個框：`Golden Bun Foods`。左邊是 `Franchise stores`，右邊是 `Mun Yu Trading`，再往上是 `Kam Mei Yee / May Kam`。旁邊一條虛線：`Historic address overlap with Chairman Kam private vehicle`。底下一行：`Key diligence questions: ownership, pricing, payment terms, volume, disclosure implications.`

他看著那張 slide，有一點奇怪的快感。不是爽在發現秘密，而是爽在一團霧終於被畫成圖。

這就是金融武功其中一式：把「我覺得唔對路」變成「請提供以下文件」。

中午前，Raymond 看完 slide，第一句是：「This cannot leave this room。」

Raymond 翻到 question list。「Ask softly. Please help us understand the historical and commercial role of Mun Yu. Please provide ownership details and any relationship with directors, shareholders, senior management or close associates. No accusation. No 'red flag'.」

Brian 接得很快。

「We can say investors will appreciate transparency around early-stage supplier relationships。」

Raymond 指住他。「Good. Use that tone。」

郭正行心裡一沉。紅旗不叫紅旗，可以叫透明度；關連不叫關連，可以叫早期供應商關係。中環不怕問題，只怕問題沒有一個好聽的名字。

會後，Marcus 叫住他。「C-hing, you did the right thing putting facts into table. But first-year analyst doesn't confront client. You escalate. You document. You let process work。」

「如果 process 唔 work 呢？」

Marcus 眼神很疲倦。「Then you make sure there is a record that you asked。」

下午三點，Yoyo 打電話來。

「你記唔記得我哋上次喺舖頭後巷見到嗰個 supplier 名？」

「滿裕？」

「我無問你哋內部進度。」她那邊有街聲，「我只係話，如果一間上市公司 margins 靚，是靠一間可能有關連的供應商吸收成本、調節價格，咁投資者買的就不是 business model，是舞台佈景。」

「如果佢哋披露呢？」

「披露係第一步。香港市場要守的，是有瑕疵都要攤出嚟。」

電話掛斷後，Brian 正在改 question list，把 `Potential related-party supplier` 改成 `Supplier relationship requiring background clarification`，又把 `Disclosure implications` 改成 `Potential prospectus positioning`。

他改得很熟手，像懂得把刀鋒包上絲帶。

傍晚六點半，Marcus 把 question list 發給梁國柱。Subject line 很溫柔：

`Golden Bun IPO - follow-up on supply chain background`

內文更加溫柔，但每一拳都打向穴位：ownership、relationship with directors、transaction amounts、pricing basis、payment terms、contracts、disclosure considerations。

晚上八點十五分，梁國柱回覆。

`Marcus, please see attached preliminary documents. Mun Yu is an independent supplier. Happy to discuss. Regards, K.C. Leung`

附件三份：`MunYu_Supply_Agreement.pdf`、`MunYu_Company_Profile.doc`、`GoldenBun_Supplier_Summary.xls`。

Marcus 叫郭正行和 Brian 入房。

「Open but don't forward yet。」

Word file 寫得工整，每一句都合理得像剛剛為了合理而出生。

Brian 看完說：「This is manageable。」

Marcus 沒有出聲。他右鍵按 file properties。

Author: `MK Admin`。Last modified by: `May K.`。Last saved: 今日下午五點四十八分。

房裡靜了。

Brian 第一個開口。「Could be admin staff。」

Marcus 看著 metadata。「Could be。」

May K。

紙巾上的 May Kam。

公司註冊上的金美儀。

紅燈坊包廂裡的「金太」。

三個名字像三枚銅錢，落在同一張桌上，聲音不大，卻足夠叫人醒。

Raymond 很快被叫進房。他看完 metadata，臉色第一次沉下來。

「We do not overreact. Save a copy. Ask legal to review. No one mentions metadata to client yet。」

Brian 低頭看 BlackBerry，螢幕亮了一下。他本來想按掉，但郭正行坐得近，看見一行 preview。

`Northern Palace Capital`

下面半句：`Brian, Mr Yuan would be happy to meet. Always interested in HK consumer stories...`

Brian 立即把電話反轉。

郭正行望住他。

Brian 抬頭，神色仍然鎮定。

「Recruiter。」

郭正行沒有追問。

他只是在那一刻意識到，滿裕貿易未必只是金滿堂的問題。當公司急住上市，投行怕失 mandate，資本想搶窗口，所有人都會叫同一套內功：

快啲問完。快啲寫完。快啲披露得差不多。快啲過關。

郭正行望住螢幕上的 `May K.`，再望住 Brian 反轉的電話。

他忽然明白，這單 deal 的對手不只是金滿堂。

而是整個江湖都在練的那句：

「快啲啦，唔好阻住個市。」
