第一百零七章 建簿最後一刻，大汗要高半格

Bookbuilding 最後一日，萬利門的電話像沒有呼吸。

Order 進來，order 調整，account 問 allocation，syndicate 更新 colour，Wendy 的手指在鍵盤上快到像把整個市場切成一格一格。

簿很好。

不是瘋狂，但很好。

Long-only 有，sovereign-linked 有，private banking demand 也有。Fung 的 report 沒有殺死 deal，反而逼一些真正做功課的資金更清楚自己買甚麼。

下午四點，Hanhai call 進來。

成吉瀚親自上線。

「市場接受。」他的聲音沉穩，「我們上半格。」

房間裏所有人都明白 `半格` 是甚麼意思。

定價 range 上端再推一點。

不是不能賣。

是賣完之後，誰承受後市。

Wendy 看著最新 book。

「Technically possible。」

Raymond 問：「Professionally？」

Wendy 沒有立刻答。

Brian 在 Hanhai 另一端說：「There is a window. If North Star leaves too much on the table, the market may read weakness。」

師兄聽見他的聲音，心口像被舊日子刮了一下。

Nancy 說：「Market may also read discipline。」

成吉瀚笑了一聲。

「律師永遠喜歡 discipline。」

Raymond 接過去。

「Investors like it more than issuers think。」

成吉瀚的聲音低了少少。

「Raymond, this is not a bakery IPO. This is national infrastructure。」

Golden Bun 的影子在房間某角閃了一下。

師兄沒有說話。

他知道自己不應該搶 senior。

Raymond 看向他。

「Jenson, factual book quality at pushed price。」

只限 factual support。

師兄把 Wendy 的 sensitivity 打開。

「At pushed price, several long-only indications become price sensitive. Incremental demand comes mostly from momentum and relationship accounts. We can complete, but aftermarket quality weakens. The disclosure does not support pricing as if policy support were a legal backstop。」

房間很靜。

Brian 沒有立刻反駁。

成吉瀚問：「你是說市場不懂北辰？」

師兄看向 speakerphone。

「我是說，市場懂的部分，我們可以收錢。市場不懂、但願意相信的部分，我們不應該收盡。」

這句話說完，他知道自己過了某條線。

不是 compliance 的線。

是人生的線。

成吉瀚沉默很久。

「你母親會說你傻。」

師兄心跳很重。

「她可能會。」

「你還說？」

師兄看著 Raymond、Nancy、Marcus、Wendy。

最後看著那本 order book。

「因為傻不一定錯。」

Call 沒有即時結論。

成吉瀚說要十分鐘。

十分鐘裏，沒有人飲水。

Brian 的 line 沒有掛。

但他也沒有說話。

師兄第一次覺得，市場真正靜的時候，不是沒有人買賣。

是每個人都知道，下一句話會定義自己。

那十分鐘，Wendy 沒有坐下。

她站在白板前，看著 order book。

「If we move half turn higher, who stays？」

ECM sales 逐個 account 過。

有些會 stay。

有些會 cut。

有些會 say supportive but reduce size。

有些會 keep order but become angry。

Wendy 最後說：「Angry money is not stable money。」

Raymond 看著 phone line。

「Brian, are you still there？」

「Yes。」

「From Hanhai side, what exactly is the ask？」

Brian 停了一下。

「Chairman wants to test top of revised range plus half turn. He believes strategic demand can absorb it。」

Nancy 問：「Is this a final instruction or discussion？」

電話那邊靜了一秒。

Brian 說：「Discussion。」

Nancy 立刻說：「Record as discussion. No pricing instruction accepted until formally confirmed by issuer through proper channel。」

這一句把房間拉回制度。

郭正行覺得胸口鬆了一點。

原來越大場面，越需要這種很不浪漫的句子。

成吉瀚回到 line 時，聲音仍然平。

「萬利門很怕。」

Raymond 說：「We are paid to know what to fear。」

成吉瀚笑了一聲。

「郭正行，你怕甚麼？」

全房間都看向他。

他知道，自己不應該搶 Raymond 的位置。

也知道，Raymond 沒有阻止。

所以他答：

「我怕投資者第一日賺少一點，會不高興。但我更怕他們半年後明白自己買的不是 guarantee，而是風險被寫得太漂亮的 premium。」

成吉瀚說：「市場有風險。」

「所以我們不要賣成沒有。」

Brian 在電話另一端很安靜。

袁弘烈說：「If we underprice, press will say demand was mishandled。」

Wendy 說：「If we overprice, aftermarket will say trust was mishandled。」

Raymond 看著 order book。

「We recommend staying within revised defensible range. Not half turn above。」

成吉瀚問：「Because committee said so？」

Raymond 說：「Because the book, disclosure and valuation evidence say so。」

然後他看向郭正行。

不是叫他再講。

是讓他知道，剛才那句已經被 senior 接住。

這種接住很重要。

如果只有 junior 講 no，是熱血。

Senior 接住，才是 institution。

十分鐘變成十五分鐘。

Call 還未完。

外面中環如常有人落班、有人飲酒、有人在電梯裡講樓價。

房裡，幾個人守著半格價格，像守一段市場日後還會不會相信你的距離。

郭正行忽然想起 Kingston 遺頁雖然還未到他手上，但某種精神已經先到。

規矩不是為細 deal 而設。

最想贏的人在房裡時，規矩才真正開始工作。

成吉瀚第二次開口時，聲音比之前更低。

「你們怕投資者不信。我怕市場覺得北辰自己都不信自己。」

Raymond 說：「Confidence does not require maximum price。」

「有時需要。」

「Not this time。」

這是 Raymond 第一次講得這麼短。

成吉瀚笑。

「Raymond，你們香港 banker 最有趣。平時說 market knows best，到真正 market strong，就說不要信 market 太多。」

Wendy 接話：「Market is information, not instruction。」

電話那邊靜了。

郭正行想，如果這句由自己說，可能太像 junior bravery。

由 Wendy 說，就像交易台上磨過的刀。

Brian 終於開口。

「Could we consider pricing at top of defensible range, not above？」

這是一個折衷。

也是一個台階。

成吉瀚沒有即時否決。

Raymond 看向 Wendy。

Wendy 看 order book，再看 valuation。

「Top of defensible range can work if allocation is disciplined and no inflated anchor interpretation in messaging。」

Nancy 補：「And final announcement language stays within approved framework。」

Marcus 說：「Committee condition remains satisfied only within documented range。」

郭正行看著房裡每個人。

這就是 institution。

不是一個人英雄式講不。

是一群人在同一條窄路上，各自守住一段。

成吉瀚說：「你們讓我想十分鐘，結果用我的十分鐘搭了一座牆。」

Raymond 說：「A guardrail。」

「牆。」

「Guardrail。」Raymond 很平靜。

最後，成吉瀚說：「Top of your defensible range. Not one cent below without coming back。」

Raymond 看了 Nancy 一眼。

Nancy 點頭，表示這句要正式確認。

Raymond 說：「We will need issuer confirmation by email。」

成吉瀚笑了一下。

「你們真係很煩。」

Raymond 說：「Yes。」

電話終於掛斷。

房裡仍然沒有人慶祝。

因為大家都知道，這不是勝利。

只是避免了一次很漂亮的失控。

Brian 的 line 最後才斷。

斷線前，他低聲說：「Good save。」

不知道是對誰。

也許是對整個房間。

也許是對他自己還剩下的某一部分。

郭正行沒有問。

問了也不會有答案。

有些話在 speaker phone 裡留下來，只是為了讓人知道，線那邊仍然有一點人味。

但人味不是回頭。

它只是令不回頭更痛。

Raymond 關掉 speaker。

「Back to work。」

四個字落地。

所有人重新低頭。

江湖沒有慢鏡。

只有 deadline。
