第六十一章 基石席前香太盛，熱錢半盞試真心

Project Dragon Gate 的 first cornerstone meeting，由萬利門 ECM 正式安排。

Attendees cleared。

Approved pack sent。

Meeting notes kept by deal team。

Nancy 在 invitation 上批了四個字：

`No side colour.`

郭正行見到時，忽然覺得這四個字可以印在中環每一部 lift 裡。

第一個進房的是 Peach Blossom。

王約思帶隊。

Yoyo 坐在他右邊。

她穿一件很簡單的白襯衫。

不像來談情。

像來問價。

龍門主席馬登峰先講故事。

新能源、出口、產能、地方支持、全球 demand。

每個字都像市場喜歡聽的字。

王約思聽完，只問一句：

「Northern Bridge 的 preferred return，上市後是否仍有任何經濟效果？」

Kelvin Poon 翻文件。

「Our current proposal is to terminate the economic preference before listing。」

Yoyo 問：「Terminate by deed？」

Kelvin 點頭。

Nancy 在筆記上寫：

`Termination deed required before launch.`

王約思再問：「Board observer right？」

Kelvin 說：「Also to be terminated。」

Yoyo 說：「Allocation preference？」

房裡安靜了一秒。

Wendy 看向馬登峰。

馬登峰說：「No binding allocation preference。」

王約思淡淡說：「我不是問 binding。我問 expectation。」

這一下，連 Raymond 都看了他一眼。

馬登峰的笑收了一點。

「早期支持我們的人，我們當然希望市場尊重。」

王約思說：「市場可以尊重 early risk。不能替私人承諾埋單。」

Yoyo 翻到 approved pack 的最後一頁。

她沒有看郭正行。

這一點反而令郭正行最能呼吸。

「如果 Peach Blossom 做 cornerstone，我們不會要求 preferential allocation outside disclosed cornerstone tranche。」她說，「但我們需要知道，其他 investor 會不會因為歷史安排，得到我們看不見的 comfort。」

Wendy 點頭。

「All cornerstone and anchor discussions through ECM. Any allocation consideration documented in allocation memo。」

王約思問：「Memo 會否記錄 investor quality，而不是只記 order size？」

Wendy 笑。

「王生，你問到我鍾意的位。」

她把筆放下。

「Big order 可以是信心，也可以是 noise。Long-only、family office、hedge fund、strategic platform，不同錢有不同壽命。Deal 熱的時候，最吵的錢不一定最可靠。」

馬登峰有點不耐煩。

「錢不是一樣？」

Wendy 看著他。

「上市第一日，可能一樣。上市三個月後，不一樣。」

Nancy 接：「And if a particular investor is relying on private understanding, that is not quality. That is conduct risk。」

Kelvin Poon 低頭寫。

郭正行看著 Yoyo。

她仍然在看文件。

她用的是投資者語氣，不是女朋友語氣。

他忽然覺得，這種距離不是冷。

是她替兩個人都留了一條乾淨的路。

郭正行低頭記。

他忽然明白，王約思的厲害，不是聲大。

是他問的每一個問題，都不需要知道 restricted detail，也能打中交易最軟的地方。

會後，Wendy 走到 pantry。

郭正行正在倒水。

她說：「你條女爸爸，好難搞。」

郭正行差點把水倒出杯外。

「不是條女。」

Wendy 看著他。

「咁你更慘。」

她靠著 counter。

「但他問得啱。Cornerstone 不是 decoration。基石投資者一坐落去，市場會問：佢睇過咩？佢得咗咩？佢點解肯？」

郭正行問：「如果佢真係肯，係咪好事？」

「要看佢肯的原因。」Wendy 說，「肯因為公司值得，係好事。肯因為你私下畀多啲貨、畀面、畀路，咁就係另一件事。」

她把空杯丟進垃圾桶。

「牛市最煩係，所有錯事都可以暫時賺錢。」

她停一停，又說：「你要習慣。真正難的不是拒絕一個壞 investor。真正難係拒絕一個看起來很有用的好 investor，當佢想要不該要的東西。」

郭正行問：「Peach Blossom 算好 investor？」

Wendy 看著他。

「你問我，還是問你自己？」

郭正行被她噎住。

Wendy 笑了一下。

「放心。今日他們走 proper channel，問 approved pack，沒有問 side colour。暫時是好 investor。」

「暫時？」

「市場裡，所有稱號都要每日 renew。」Wendy 說，「包括 banker。」

下午，另一個投資者來。

不是基金。

是袁弘烈介紹的中資平台。

正式名字很中性：

`Harbour Compass Investment Holdings`

代表人說話很客氣。

「我們可以考慮做 anchor order。金額不小。」

Wendy 問：「Subject to what？」

「Subject to final pricing and allocation discussion。」

Wendy 微笑。

「Allocation discussion through ECM only。」

對方也微笑。

「當然。」

Brian 不在房。

這是 Nancy 的安排。

他在另一邊做 public market comps update，只知道會議透過 approved channel 進行，不知道 investor dialogue。

Nancy 特意走到他座位旁。

「Brian, this is not personal。」

Brian 停住 keyboard。

「I know。」

Nancy 說：「I need you to know more than say it。」

他抬頭。

Nancy 的表情仍然短句。

「You are useful on public comps. Very useful. But while Hanhai / Yuan contact is live, I will not put you near investor dialogue. That protects the file and it protects you。」

Brian 想說，保護有時聽起來像放棄。

但他沒有。

他只是點頭。

「Understood。」

Nancy 走後，他看著 screen 上的 trading comparables。

每一間公司都有名字、ticker、market cap、P/E、EV/EBITDA。

公開。

乾淨。

可以被任何人讀。

他卻覺得自己像被安排去一個沒有故事的地方。

但當晚收到 message 時，他仍然覺得袁弘烈那張名片在口袋裡變重。

晚上，他收到 message。

`You see now. Proper channels can still understand relationships. No need to be childish about rules.`

沒有署名。

但他知道是誰。

Brian 盯著那句。

這一次，他沒有只截圖。

他轉發給 Nancy。

`Incoming message. I will not respond.`

Nancy 回得很快。

`Logged. Do not engage. We will review whether you should remain on Dragon Gate investor-adjacent workstream.`

Brian 看著 `review`。

這個字以前令他覺得屈辱。

現在令他覺得疲倦。

他關掉電話。

抬頭時，郭正行站在 pantry 門口。

「你 OK？」

Brian 笑。

「你而家成日問呢句。」

「因為你成日似唔 OK。」

Brian 沒有罵他。

只是說：「有時我覺得你哋守住一條線，好似守住全世界。」

郭正行說：「其實只係守住自己唔好變得太快。」

Brian 看著他。

「Maybe that's the problem。」

說完，他走回燈光裡。

郭正行第一次覺得，Brian 不是不知道線在哪裡。

他只是開始懷疑，線後面有沒有未來。

那晚回家，郭正行把今日 meeting note 重看一次。

他刻意只看 approved pack。

沒有把 Yoyo 的表情放進文件。

沒有把王約思的語氣當成 hidden comfort。

他在 notebook 最後寫：

`Peach Blossom asked as investor, not as shortcut. Treat accordingly.`

寫完後，他停了一下，又補：

`Do not punish closeness by pretending it is distance. Manage it properly.`

這句不像 Nancy。

也不像 Marcus。

比較像他自己。

他把 notebook 合上，第一次覺得，喜歡一個人不是避開所有線。

是承認線存在，然後仍然用正確方法靠近。

手機亮起。

Yoyo 只發了一句：

`今日你全程無亂望我。合格。`

郭正行笑了很久。

他回：

`你問問題時太可怕，不敢望。`

Yoyo：

`Good. Fear is a control.`

他看著那句，第一次覺得，被她取笑也可以是一種安定。

他把手機反轉放在桌上，繼續改 meeting note。

喜歡是一回事。

把喜歡放在正確 folder，原來也是一種修行。

窗外天色已暗。

他在玻璃倒影裡看見自己，忽然覺得那個倒影比剛入行時站得直了一點。

不是因為他有了 Peach Blossom。

也不是因為他坐進更多房間。

是因為他開始知道，有些房門可以進，有些門就算有人替他打開，也要先問清楚門牌。

這個念頭不浪漫。

但它讓他今晚睡得比較安穩。

對他來說，安穩已經是很大的事。

尤其在所有人都催他快一點的年份。

慢，原來也需要勇氣。
