第五十九章 側信一紙藏快路，優先半分問公心

第三份 side letter 是 Andy Or 找到的。

不是因為 client 藏得很深。

而是因為它放在一個太普通的 folder 裡。

`Miscellaneous`

中環最怕的，往往不是 `Confidential`。

是 `Miscellaneous`。

Andy 把文件投到 screen 上。

`Supplemental Understanding - Northern Bridge Strategic Fund`

Nancy 只看了兩行，眉心已經收緊。

`In the event of any cornerstone allocation to affiliates or related investment platforms introduced by Northern Bridge, the Company shall use reasonable endeavours to support such allocation preference, subject to applicable rules and market conditions.`

Wendy 直接笑出聲。

「Reasonable endeavours to support allocation preference。好靚嘅廢話。」

Marcus 問：「廢話有幾廢？」

Wendy 說：「廢到如果市場冷，佢話無 preference。如果市場熱，佢話你承諾過。」

Raymond 看向 Kelvin Poon。

Kelvin 面色不算差。

像一個早知道有人會問到，但希望不是今天的人。

「This is non-binding。」

Nancy 說：「Non-binding documents can still bind behaviour。」

馬登峰有點不耐煩。

「Northern Bridge 早期幫我們打開地方資源，介紹銀行、供應商、政府園區。上市時畀佢哋一點 face，有問題嗎？」

郭正行看著那句 `introduced by Northern Bridge`。

他想起 Yoyo 說，熱 deal 會照到誰想要 face。

「問題不是 face。」他說，「問題係 public investors 是否知道，有人上市前已經有一張人情帳。」

房裡靜了半秒。

Raymond 沒有阻止他。

Marcus 只是低頭寫：

`Human obligation / allocation preference - potential disclosure and process issue`

Nancy 說：「We need counsel view. If any preference affects allocation, it must be either terminated, disclosed, or controlled by formal allocation policy. No private promise。」

Wendy 接：「Allocation belongs to bookbuilding process. Not to a side letter written before launch. Issuer and pre-IPO investor cannot bind bookrunner allocation。」

Marcus 把文件翻到簽署頁。

「Date is before our mandate。」

Nancy 說：「That makes it understandable, not harmless。」

她在 whiteboard 上畫了四欄。

`Right`

`Economic effect`

`Survives listing?`

`Disclosure / termination path`

「所有 pre-IPO rights 放入 matrix。」Nancy 說，「preferred return、conversion adjustment、board observer、information right、MFN、allocation understanding，一樣都不要放在 miscellaneous。」

Kelvin Poon 試圖解釋：「有些只是 relationship language。」

Marcus 抬頭。

「Relationship language is still language。」

Wendy 說：「尤其是有人日後會拿住一句 language，要求我哋分貨。」

Raymond 靠在椅背。

「Kelvin，我們不需要你把公司寫醜。我們需要知道邊啲句子，上市後會被人用來扮承諾。」

Kelvin 的眼神暗了一點。

他不是不懂。

他只是太懂公司一路長大，靠過多少灰色的手。

馬登峰望著那個 matrix，第一次沒有即刻反駁。

「如果全部寫出來，市場會不會覺得我們很複雜？」

Nancy 說：「如果不寫，市場日後會覺得你們不誠實。」

兩句之間，房間裡的冷氣聲忽然很清楚。

Raymond 把語氣放慢。

「Dengfeng，你以前做廠，應該知道一塊玻璃有氣泡，不代表不能用。但如果你把有氣泡的位置藏在邊框裡，日後裂開，客人會覺得你騙他。」

馬登峰看著他。

「你哋 banker 都識講工廠？」

Raymond 笑。

「我不識做玻璃。我識見過玻璃爆。」

Kelvin Poon 低頭，像第一次鬆了一點。

他說：「Chairman，寫清楚不一定是認衰。有時是讓市場知道，我們已經處理。」

馬登峰沒有即刻答。

但他終於把那份 `Miscellaneous` folder 推向 Kelvin。

「全部列出來。」

那一刻，郭正行覺得，文件房裡有些勝利不是大聲的。

只是 client 願意把一個普通 folder 變成正式問題。

Marcus 在旁邊低聲說：「This is the boring part that saves people later。」

郭正行點頭。

他忽然很喜歡 `boring` 這個字。

在牛市裡，boring 有時比 brilliant 更難得。

他在 notebook 寫下：

`Make boring defensible.`

寫完，他覺得這句也很悶。

於是更相信它可能有用。

悶，至少不會騙人。

馬登峰望住 Wendy。

「市場不是也講關係？」

Wendy 沒有避。

「市場當然講關係。但真正識玩的人，知道邊啲關係可以寫，邊啲寫不出來就不應該做。」

Brian 不在房。

袁弘烈的 message 則在 Nancy 的 folder 裡。

什麼是 bigger road？

有些人覺得是產業。

有些人覺得是國策。

有些人覺得是未來。

但在 prospectus 裡，路要有名字。

如果沒有名字，就可能只是別人的後門。

會後，Nancy 叫 Brian 留低。

郭正行本來想走。

Marcus 輕輕碰了碰他的文件。

「你都留。」

Nancy 把袁弘烈 message 的截圖放在桌上。

Brian 已經先發給她。

「You did the right thing logging this。」

Brian 說：「He didn't ask for anything。」

「I know。」Nancy 說，「That is why it is not misconduct. But from now on, you do not discuss Dragon Gate, Northern Bridge, cornerstone, allocation or market demand with anyone from Northern Palace, Hanhai or related circles. Incoming messages logged. No response unless cleared。」

Brian 點頭。

「Understood。」

Nancy 看著他。

「And don't use record-keeping as emotional insurance。」

Brian 的表情停了一下。

郭正行也停了一下。

這句太準。

準到像法律文件忽然長出人心。

Brian 走出 Nancy 房時，沒有立即回自己座位。

他站在 corridor 盡頭，看見玻璃房裡郭正行仍在幫 Marcus 抄 matrix。

每一欄都是他其實也懂的東西。

rights。

benefit。

survival。

disclosure。

他不是不會做。

只是現在每一次靠近那些東西，都像靠近一個會響的門鐘。

Marcus 走出來，見他站著。

「You okay？」

Brian 笑。

「Everyone keeps asking that。」

Marcus 沒有笑。

「Because people usually say okay before they decide not to be。」

Brian 的笑收了。

Marcus 只是拍拍他肩。

「Staying outside a room is also work, if staying outside protects the file。」

Brian 看著他。

這句很正確。

正確到幾乎殘忍。

晚上，Brian 在 pantry 找到郭正行。

「你覺得我想走捷徑？」

郭正行沒即刻答。

如果是以前，他可能會說笑，或者避開。

現在他知道，有些問題不能靠善良敷衍。

「我覺得你知道捷徑在哪裡。」他說。

Brian 笑了一下。

「咁你呢？」

「我通常行慢路都行到迷路。」

Brian 看著他。

那個笑，終於有一點真的。

「所以有人信你。」

郭正行沒有接。

這句如果放在以前，他會覺得是讚。

現在他知道，有人信你，也是一種負債。

「你呢？」他反問。

Brian 靠在 pantry 門邊。

「我以前覺得，自己最叻係識路。哪條路快，哪條路有門，哪個人一句話有用，我比人早聞到。」

他笑了笑。

「現在每次聞到門，我就要先問，這道門是不是 conflict。」

郭正行說：「可能你只是比以前更清楚門後面有什麼。」

「又或者我只是越來越怕。」Brian 說。

這句出來後，兩人都停住。

Brian 似乎也沒想到自己會這樣講。

郭正行沒有安慰。

他只是把另一杯水推過去。

「怕都可以記錄。」

Brian 看著那杯水，笑了一聲。

「你真係被 Marcus 教壞。」

「可能。」

「但你不要變成只剩 record。」

郭正行抬頭。

Brian 已經轉身。

「我都不要。」

他說完便走。

郭正行看著他的背影，忽然覺得，他們之間最痛的不是不同路。

是他仍然希望 Brian 會回頭。
