第五十章 留路一掌成新局，北境名帖入心門
Sponsor committee 再次坐滿人。
不同的是，這次房間裡沒有 Golden Bun 那種舊傷味。
Project Silk Road 的味道，是柴油、倉燈、現金流和市場謠言。
Nancy 先講法律。
「Historical support arrangement documented. Amounts and periods now provided. North Harbour control not confirmed; legal representation received, economic influence questions addressed through disclosure and controls. Warehouse financing reconciliation still pending final batch-level sign-off。」
Andy 接：
「Pre-wall protocol effective. No evidence of information leakage from deal team. Brian remains restricted from North Harbour materials。」
Brian 坐在房外。
不是因為他做錯。
而是因為 process 仍然需要他在門外。
郭正行聽見 Andy 講到這句時，手指在筆上收緊了一下。
Henry 講 cashflow。
「公司真有 operation。Growth 不是紙上砌出來。但 cash conversion cycle widening，fuel advances and receivables pressure need clear risk disclosure。」
Samson 講 market。
「Rumour has been contained so far. Holding line works because internal facts are catching up. If facts lag again, PR dies。」
Raymond 講 execution。
「Valuation impact manageable if we position as historical ramp-up support and improved controls. Timetable needs buffer。」
最後，Marcus 看向郭正行。
「C-hing, your page。」
郭正行打開一頁 summary。
標題很普通：
`Disclosure Path`
下面四格：
`What happened`
`How much`
`Why it ended`
`What prevents recurrence`
他講得不快。
沒有修辭。
沒有江湖口訣。
只是把每個問題放到應該坐的位置。
講完，房裡安靜。
Committee chair 看向 Raymond。
「Your recommendation?」
Raymond 看著 Marcus。
Marcus 看著郭正行。
「C-hing, state the workstream view. Factual only。」
郭正行忽然明白，這一刻不是要他扮 senior。
是要他說出自己真正相信的東西。
「Proceed, subject to final reconciliation and revised disclosure。」他說，「但如果 batch-level sign-off 或 North Harbour representation 不完整，停。」
Raymond 接住：「We adopt that as the deal team's recommendation。」
Committee chair 點頭。
「That is the right answer。」
會後，郭正行去金華冰廳。
Seven 叔像早就知道他會來。
桌上放著一杯熱奶茶。
「講完？」
「講完。」
「有無扮英雄？」
「無。」
「有無扮死人？」
「都無。」
Seven 叔點頭。
「咁可以教下一掌。」
郭正行坐直。
Seven 叔說：「降龍十八 Pitch，第十二掌，留路畀人講真話。」
「唔係第十一掌？」
「第十一掌早問早寫，上次教咗。」Seven 叔瞪他，「你無溫書？」
郭正行立刻閉嘴。
Seven 叔繼續：「留路畀人講真話，唔係幫人兜。係你要設計一條路，令對方講真話之後，仲有得行。無路行，人就會跳牆。」
他喝了一口奶茶。
「但記住，有路都唔肯講真話，就唔好救。」
郭正行慢慢點頭。
這一掌不響。
但很難。
因為它要求你既不能天真，也不能冷血。
晚上回 office，Brian 已經在。
他似乎知道 committee 結果。
「Proceed subject to conditions？」
郭正行停了一下。
「你邊度聽返嚟？」
Brian 笑。
「中環牆厚，但門口的人會看臉色。」
他站起來。
「恭喜。」
「未完。」
「你永遠都話未完。」
Brian 把一張名片放入口袋。
郭正行看見一角。
不是陸承恩。
是另一個名字。
`Yuan Honglie`
中文：袁弘烈。
郭正行沒有問。
Brian 也沒有解釋。
兩人就這樣站著。
像兩個人同時知道，下一次敲門的人，未必還在同一邊。
窗外，中環燈光很亮。
Project Silk Road 沒有完。
北境也沒有真正入場。
但那張名片像一把很薄的刀，已經放進 Brian 的西裝內袋。
有些江湖帖，不需要打開。
貼近心口，已經算收到。
第二日早上，committee minutes circulated。
郭正行第一時間翻到自己講話那段。
沒有「英雄」。
沒有「停」的豪氣。
只有一句很乾的記錄：
`Analyst provided factual workstream summary. Deal team recommendation formally adopted by Raymond Lau and Marcus Cheng: proceed subject to final reconciliation and revised disclosure; stop if batch-level sign-off or North Harbour representation remains incomplete.`
他看著那行字，心裡有種奇怪的鬆。
昨晚那一刻在他記憶裡很重。
落到 minutes，只是一句 factual record。
但這樣才對。
一間 sponsor firm 不能靠某個 analyst 的熱血過 committee。
它要靠 senior banker 接住、靠 legal 記低、靠 committee chair 點頭、靠下一日每個人仍然願意按那句話做。
Marcus 經過，看見他在看 minutes。
「失望？」
「有少少。」
「Good。」Marcus 說，「你如果想 committee minutes 寫得像武俠小說，就應該去寫小說。」
郭正行笑。
Marcus 停了一下。
「但你講得對。」
這句比任何 minutes 都令他更想坐低。
中午，Raymond 叫他一起見 Victor Luo。
Victor 已經看過 committee conditions。
他把文件放在桌上。
「你哋留路畀我講真話。」他說，「但條路好窄。」
Raymond 說：「窄路有時比較安全。」
Victor 看著郭正行。
「你昨日講，如果 sign-off 不完整，停。你真係敢停？」
這問題不應該由 analyst 答。
Raymond 立即接過。
「The firm will stop if the conditions are not met。」
Marcus 補：「That is the recommendation adopted。」
Victor 沒有再逼郭正行。
但他的眼神停了一秒。
郭正行知道，那一秒他其實已經問完了。
你哋是不是只在 committee 房裡有膽？
還是真的敢在 client 面前守？
Raymond 用 senior banker 的身份替他答了。
這一刻，郭正行很感激。
因為英雄時刻如果沒有 senior 接住，很快會變成 junior 犯規。
下午，Brian 收到 Yuan Honglie 的第二張 message。
`Good to meet someone who understands slow rules. Slow rules can build fast platforms if used correctly.`
Brian 看著那句。
他沒有回。
但把 message 留下。
旁邊，郭正行正在印 updated disclosure path。
Brian 忽然問：「你覺得規矩可以用嚟 build platform？」
郭正行停了一下。
「可以。但要睇 platform 想載乜。」
Brian 笑。
「你啲答案永遠有 caveat。」
「因為無 caveat 的答案通常係 pitch。」
Brian 沒有反駁。
他把名片在口袋裡摸了一下。
那個動作很細。
但郭正行看見。
他仍然沒有問。
Brian 也仍然沒有解釋。
這種沉默，不再像尊重。
開始像兩個人各自替對方保存一份未披露風險。
晚上，Seven 叔聽他講完 committee general version。
「咁你今次學咩？」
郭正行說：「學到我唔係一個人講 proceed 或 stop。」
Seven 叔點頭。
「中環最危險嘅錯覺之一，就係後生仔以為自己一句話可以救一單 deal。真正救到 deal 嘅，是一班人一齊肯承認一句難聽的真話。」
「咁第十二掌呢？」
「留路畀人講真話。」Seven 叔說，「但你今日再加半句：留路，也要有人守門。」
郭正行想起 Raymond 接住 Victor 那一問。
他點頭。
茶記外雨又落。
雨聲不大。
但那張袁弘烈的名片，在另一個人的西裝內袋裡，像完全不怕濕。
回到萬利門，郭正行在 pantry 見到 Wendy。
她還未正式成為他後來熟悉的那個 allocation 刀手，但已經有一種看 order book 像看人心的眼神。
「聽聞 committee 過咗？」她問。
「Proceed subject to conditions。」
「投行最愛嘅四個字。」
「其實係五個英文。」
Wendy 看著他。
「你同 Raymond 一樣煩。」
郭正行笑。
Wendy 拿起咖啡。
「記住，後面 bookbuilding 先見真章。Disclosure 過咗，不等於市場會幫你。市場唔係獎勵你誠實，市場只係因為你誠實而有機會正確懷疑你。」
這句聽落冷。
但很準。
郭正行問：「咁有咩分別？」
「分別係，正確懷疑可以定價；錯誤想像只會殺人。」
Wendy 走了。
郭正行站在 pantry，忽然覺得 Project Silk Road 還有另一關。
不是讓 committee 相信。
是讓市場在懷疑中仍然願意落單。
同一時間，Brian 在自己位上把袁弘烈的名片拿出來。
卡紙很厚。
名字很乾淨。
沒有太多 title。
越少 title，越像真正有權。
他看了幾秒，又放回口袋。
這個動作沒有任何人要求他 log。
也正因為無人要求，它比很多 formal note 更誠實。
他不是沒有選擇。
他只是開始把另一個選擇貼近心口。
